Platform terms of use.
These Platform Terms apply to your use of the ærspace platform contained on this website and related services (Platform). By registering or agreeing to be listed on this website as a Host, making an enquiry as a Guest, or using the Platform, you agree to be bound by these Platform Terms. A user as described in these Platform Terms (and referred to as "you", "user") is a person accessing this website (whether as a Host, or a Guest, or otherwise).
In consideration of ærspace granting Hosts and Guests access to the Platform and providing introduction services in accordance with these Platform Terms, Hosts and Guests agree to comply with these Platform Terms, and Hosts agree to pay Commission in accordance with the applicable Introducer Agreement.
1. Definitions
- Booking means an arrangement between a Host and Guest for use of a Space.
- Guest means a person or organisation seeking to hire a Space (and as relates to a specific Booking, is the person or organisation named as the Guest in a Guest Booking Request).
- Guest Booking Request means a document as used by the Platform in which a person or organisation makes a request to book a space, venue or facility as listed for hire on the Platform, in the form as used by ærspace from time to time.
- Host means a person or organisation listing a Space for hire (and as relates to a specific Booking, is the organisation named as the Host in a Guest Booking Request).
- Introduction means the first contact or connection between a Guest and a Host facilitated through the Platform, including where ærspace passes a Guest's enquiry or contact details to a Host, or a Host's details to a Guest.
- Platform Terms means these terms and any additional terms referred to on the Platform.
- Space means any venue, facility or area listed through ærspace (and as relates to a specific Booking, is the space named as the Space in a Guest Booking Request).
2. About ærspace
Airspace NZ Limited, trading as ærspace, NZBN 9429053826763 (referred to as "ærspace", "we", "us", "our") operates the Platform. The Platform connects people and organisations looking for spaces, venues and facilities with owners or operators of spaces venues and facilities available for hire. Our role is to facilitate introductions between Guests and Hosts, and to collect and process Booking payments as set out in these Platform Terms.
3. ærspace's role
3.1 Introducer and payment collector
ærspace is an introducer, platform provider and payment collector only. ærspace:
- does not own, operate or control any Space listed on the Platform;
- does not provide venue hire services;
- does not employ or represent Hosts;
- is not a party to any agreement between a Host and a Guest; and
- does not guarantee that a Guest and Host will enter into a booking.
3.2 Relationship between Host and Guest
Any agreement to hire a Space is directly between the Host and the Guest. The Host is responsible for:
- the Space;
- facilities;
- services;
- pricing;
- availability;
- safety;
- compliance obligations; and
- delivery of the hire arrangement, in each case as set out in the terms for the applicable Booking.
The Guest is responsible for:
- ensuring the Space meets their needs;
- complying with venue rules;
- paying agreed amounts; and
- using the Space responsibly, in each case as set out in the terms for the applicable Booking.
4. Payments, bonds and commission
Unless otherwise stated for a particular Booking:
- ærspace collects the hire fee and any refundable bond from the Guest together, in a single payment;
- the Guest must complete that payment through the ærspace portal within the timeframes set out in clause 8 of the Venue Hire Terms — 48 hours from the Host's acceptance for Standard Bookings (starting more than 24 hours after acceptance), or 2 hours for Last-Minute Bookings (starting 24 hours or less after acceptance) — failing which the Booking Request automatically expires and the dates are released;
- ærspace holds the bond and returns it to the Guest in accordance with the Venue Hire Terms;
- ærspace deducts its agreed commission from the amounts collected in accordance with the applicable Introducer Agreement; and
- ærspace remits the balance of the hire fee to the Host in such amount and at such time as set out in the applicable Introducer Agreement.
5. Relationship with other ærspace agreements
5.1 Introducer Agreement
Hosts may enter into or accept a separate Introducer Agreement with ærspace, which governs matters such as the Host's appointment, commission arrangements and other Host-specific terms (Introducer Agreement). Where a Host has entered into or accepted an Introducer Agreement, these Platform Terms are incorporated into and form part of that Introducer Agreement.
5.2 Guest booking terms
Guests are also asked to enter into or accept separate booking terms when using the Platform or confirming a Booking — the ærspace Venue Hire Terms, published at aerspace.com/venue-hire-terms (Venue Hire Terms). Where a Guest has entered into or accepted the Venue Hire Terms, these Platform Terms are incorporated into and form part of the Venue Hire Terms.
5.3 Order of precedence
If there is any conflict or inconsistency between an Introducer Agreement or the Venue Hire Terms (as applicable) and these Platform Terms, the Introducer Agreement or the Venue Hire Terms prevails to the extent of the conflict, except that these Platform Terms will always govern a user's use of the Platform, including account access, listings, bookings, and suspension or removal of content.
5.4 Where no separate document exists
Where a Host or Guest has not entered into or accepted a separate Introducer Agreement or Venue Hire Terms, these Platform Terms alone govern their relationship with ærspace.
6. Using the platform
6.1 Eligibility
In order to use the Platform, you must:
- be at least 18 years of age and legally capable of entering into binding contracts under New Zealand law;
- provide accurate information to ærspace;
- have authority to act on behalf of yourself or your organisation; and
- comply with these Platform Terms and all other agreements you are party to relating to the Platform.
6.2 Account information
You are responsible for keeping all information provided to ærspace accurate and up to date. You must notify ærspace of any material changes affecting your account or use of the Platform.
7. Host terms
This section applies to Hosts.
7.1 Listing a Space
By listing a Space, the Host confirms that, with regard to the applicable Space:
- it has authority to make the Space available for hire;
- all information provided by it as regards the Space is accurate;
- photographs and descriptions as regards the Space are not misleading;
- the Space is suitable for the intended use; and
- it complies with all applicable laws and requirements as regards the Space and all Bookings.
7.2 Host responsibilities
The Host is solely responsible for:
- operating the Space;
- managing Guests;
- providing facilities and services at the Space;
- confirming each Booking and delivering the hire arrangement constituting the Booking (ærspace collects Booking payments on the Host's behalf — see Payments, bonds and commission);
- managing cancellations and refunds in accordance with the Venue Hire Terms;
- maintaining required licences and approvals for the Space; and
- complying with all applicable laws as regards the Space.
7.3 Food, alcohol and activities
Unless specifically otherwise provided in a Guest Booking Request, the Host is responsible for:
- food safety requirements;
- liquor licensing requirements;
- health and safety obligations;
- local authority requirements; and
- any other regulatory obligations.
7.4 Commission
Where an Introduction by ærspace results in a Booking, ærspace is entitled to the agreed commission as set out in the applicable Introducer Agreement. For Bookings paid through the Platform, ærspace deducts the commission from the amounts collected from the Guest and remits the balance of the hire fee to the Host. Commission arrangements will be confirmed during Host registration or separately agreed and as may be set out in the applicable Introducer Agreement. Commission remains payable where a Guest introduced by ærspace later books directly with the Host within the applicable period as set out below and in the applicable Introducer Agreement.
7.5 No bypassing ærspace
The Host must not knowingly avoid ærspace's commission by:
- encouraging Guests introduced through ærspace to contract outside the Platform; or
- otherwise circumventing ærspace's role as introducer.
8. Guest terms
This section applies to Guests.
8.1 Finding a Space
ærspace provides information supplied by Hosts to potential Guests by including such information on this website. Guests should make their own enquiries before booking. ærspace does not guarantee, with regard to the applicable Space:
- availability;
- suitability;
- condition of the Space;
- quality of services; or
- performance by the Host.
8.2 Booking relationship
When a Guest books a Space:
- the agreement is between the Guest and the Host;
- the Host is responsible for providing the Space; and
- ærspace is not responsible for the hire arrangement.
8.3 Commission applies even off-Platform
If ærspace introduces a Guest to a Host, and the Guest subsequently enters into a Booking (or an equivalent arrangement) with that Host within 24 months of the Introduction, a Commission will be payable by the Host to ærspace (even if the Booking is not made through the Platform) as if it had been made through the Platform, such Commission payable within 14 days of the date of the invoice from ærspace to the Host. This does not prevent a Host from dealing directly with a Guest. It reflects that ærspace provided the introduction that led to the Booking, and confirms that a Commission remains payable to ærspace in that circumstance.
8.4 Booking terms
All Bookings are subject to these Platform Terms and to the ærspace Venue Hire Terms (published at aerspace.com/venue-hire-terms). The Venue Hire Terms are the standard terms on which a Guest hires a Space from a Host, and cover matters such as: cancellation and refunds; bond requirements; damage and cleaning; food, alcohol and safety; and liability and indemnity as between the Host and Guest. A Booking may also include booking-specific details such as booking dates, pricing and special conditions, as set out in the Guest Booking Request for that Booking. Those details, together with the Venue Hire Terms, form part of the agreement between the Host and Guest.
9. Reviews and information
ærspace may provide tools for ratings, reviews or feedback to be uploaded by users on this website or otherwise. Reviews must be honest, accurate and based on genuine experience. No person may offer or accept an incentive in exchange for a positive review. ærspace does not guarantee the accuracy or completeness of any user-generated content. ærspace may remove content that is misleading, inappropriate, dishonest or inconsistent with these Platform Terms.
10. Privacy
ærspace collects and uses personal information in accordance with its Privacy Policy, published at aerspace.com/privacy. By using the Platform, you consent to ærspace sharing relevant information with Hosts and Guests where necessary to facilitate introductions and Bookings.
11. Intellectual property
11.1 ærspace's intellectual property
ærspace owns or licenses all rights in:
- the Platform (including this website and all its contents);
- branding;
- software;
- content created by ærspace; and
- Platform functionality.
Users must not copy, modify or misuse ærspace intellectual property.
11.2 Content submitted by users
When a Host or Guest submits content to the Platform — including listing photographs, descriptions, reviews and messages — that person grants ærspace a non-exclusive, royalty-free, worldwide licence to use, display, reproduce and distribute that content for the purpose of operating and promoting the Platform. The person submitting the content warrants that they own it or otherwise have the right to submit it, that it does not infringe the intellectual property rights of any third party, and indemnifies ærspace against any claim arising from a breach of that warranty. The submitting party retains ownership of their content. The licence granted to ærspace ends when the content is removed from the Platform or the relevant account is closed, except to the extent the content has already been used or shared by ærspace before that point.
11.3 Reporting infringing content
If you believe content on the Platform infringes your copyright, contact ærspace at info@aerspace.com with details of the content and the basis for your claim. ærspace will investigate and may remove or disable access to the content where appropriate.
12. Suspension and removal
ærspace may suspend or remove accounts, listings or access to a Guest or a Host where ærspace reasonably considers that:
- these Platform Terms or any other agreement entered into as anticipated by these Platform Terms have been breached by the Guest or Host, as applicable;
- information provided by the Guest or Host, as applicable, is inaccurate;
- safety concerns exist as reasonably determined by ærspace;
- unlawful activity by the Guest or Host, as applicable, is suspected by ærspace;
- the reputation or operation of ærspace may be affected due to the activities of the Guest or Host, as applicable, as reasonably determined by ærspace; or
- otherwise, as reasonably determined by ærspace.
13. Liability
13.1 ærspace's role
ærspace provides an introduction and payment collection service only. ærspace is not responsible for:
- the Space;
- the Host's services;
- Guest conduct;
- bookings between Hosts and Guests; or
- disputes between Hosts and Guests.
13.2 Excluded losses
To the maximum extent permitted by law, ærspace is not liable for:
- indirect loss;
- consequential loss;
- loss of profit;
- loss of business opportunity;
- reputational loss; or
- loss arising from a Host or Guest failing to perform obligations.
13.3 Liability cap
To the maximum extent permitted by law, ærspace's aggregate liability to any user (including any Guest or Host) under these Platform Terms is limited to the total fees paid by that user to ærspace and retained by ærspace as commission in the 12 months preceding the event giving rise to the claim.
13.4 Liability not excluded
Nothing in these Platform Terms limits ærspace's liability for death or personal injury caused by ærspace's negligence or fraud, or any other liability that cannot lawfully be excluded under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.
14. Changes to these terms
ærspace may update these Platform Terms from time to time. The current version available on the website applies. Where changes are material, ærspace may notify registered users and may require registered users to accept the updated Platform Terms before continuing to use the Platform.
15. General
15.1 No agency
Nothing in these Platform Terms creates an agency, partnership, employment or joint venture relationship between any or all of ærspace, any Host and any Guest other than the limited payment collection agency between ærspace and the Host described above under the Host responsibilities section.
15.2 Assignment
Users may not transfer their rights or obligations without ærspace's consent.
15.3 Governing law
These Platform Terms are governed by New Zealand law. The parties submit to the jurisdiction of the New Zealand courts.
